Welcome to ProjectFlowLive. These Terms of Service (“Terms”) govern your access to and use of the ProjectFlowLive platform, website, applications, and related services (collectively, the “Service”) provided by Project Flow Technologies, LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Definitions

  • “Account” means the user account you create to access the Service.
  • “Customer” means the individual or entity that subscribes to and pays for the Service.
  • “User” or “you” means any individual authorized by the Customer to access the Service.
  • “Customer Data” means any data, files, documents, content, or information that you or your Users upload, submit, or store through the Service.
  • “Subscription” means the paid plan you select, including the number of authorized user seats.

2. Account Registration and Eligibility

To use the Service, you must create an Account by providing accurate and complete information. You must be at least 18 years old and legally able to enter into contracts. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

You agree to notify us immediately at support@projectflowlive.com if you become aware of any unauthorized use of your Account.

3. Subscriptions and Billing

3.1 Seat-Based Pricing

The Service is offered on a seat-based subscription model. Each User who accesses the platform requires a licensed seat. You may add or remove seats at any time through your account settings, subject to the terms of your billing plan.

3.2 Payment

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All payments are processed through our third-party payment processor (Stripe). By providing payment information, you authorize us to charge your payment method for all fees incurred.

3.3 Free Trials

We may offer free trial periods at our discretion. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. You will not be charged during the trial period.

3.4 Refunds

Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access through the end of the current billing period.

3.5 Price Changes

We may change our subscription fees at any time. Price changes will take effect at the start of the next billing cycle. We will provide at least 30 days’ notice of any price increase via email.

4. Use of the Service

4.1 Permitted Use

The Service is designed for construction project management, field operations, scheduling, document management, financial tracking, proposals, and related business activities. You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

  • Use the Service in violation of any applicable law, regulation, or industry standard
  • Upload or transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to compete with or build a competing product
  • Share account credentials with unauthorized individuals
  • Exceed your licensed number of user seats
  • Use automated tools to scrape, harvest, or extract data from the Service
  • Use the Service to store or transmit content that is illegal, defamatory, or infringes on third-party rights

5. Artificial Intelligence Features

5.1 AI-Assisted Capabilities

The Service includes AI-powered features such as document analysis, proposal generation, cost estimation, scheduling assistance, and content creation. These features use third-party AI models (including Amazon Web Services Bedrock) to process your data and generate outputs.

5.2 AI Limitations and Disclaimers

AI-generated content is provided for informational and assistance purposes only. You acknowledge that:

  • AI outputs may contain errors, inaccuracies, or omissions
  • AI-generated proposals, estimates, and analyses should be reviewed by qualified professionals before being relied upon
  • You are solely responsible for verifying the accuracy and appropriateness of AI-generated content before use
  • AI features do not constitute professional engineering, legal, financial, or construction advice
  • AI processing is subject to usage limits based on your subscription plan

5.3 AI Data Usage

Your data processed by AI features is used solely to provide the Service to you. We do not use your Customer Data to train AI models. AI processing may involve transmitting your data to our cloud infrastructure providers (Amazon Web Services) in accordance with our Privacy Policy.

6. Customer Data and Intellectual Property

6.1 Your Data

You retain all ownership rights to your Customer Data. By using the Service, you grant us a limited, non-exclusive license to use, process, and store your Customer Data solely to provide, maintain, and improve the Service.

6.2 Our Intellectual Property

The Service, including its software, design, features, documentation, and all related intellectual property, is owned by Project Flow Technologies, LLC. Nothing in these Terms transfers any ownership rights to you. Your subscription grants you a limited, non-transferable, non-exclusive right to access and use the Service during the subscription period.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

7. Data Security and Compliance

We implement commercially reasonable security measures to protect your data, including encryption in transit (TLS) and at rest, role-based access controls, and row-level security. Our infrastructure is hosted on Amazon Web Services (AWS) in the United States.

While we strive to protect your data, no method of electronic storage or transmission is 100% secure. You are responsible for implementing appropriate security practices within your organization, including strong passwords and restricting access to authorized personnel.

8. Third-Party Services

The Service may integrate with third-party services, including but not limited to: payment processing (Stripe), cloud infrastructure (AWS), video conferencing (Amazon Chime), AI processing (AWS Bedrock), social media platforms (LinkedIn), and email services (AWS SES). Your use of third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will endeavor to provide advance notice of scheduled maintenance when possible.

Technical support is available via email at support@projectflowlive.com and through the in-app support ticket system.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access through the end of the current billing period. After your subscription ends, your data will be retained for 30 days, after which it may be permanently deleted.

10.2 By Us

We may suspend or terminate your access to the Service immediately and without notice if:

  • You breach any provision of these Terms
  • Your payment method fails and is not resolved within 14 days
  • We are required to do so by law
  • Your use of the Service poses a security risk to us or other users

10.3 Data Export

Upon request made before the end of the data retention period, we will provide you with an export of your Customer Data in a standard format.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

THE SERVICE IS NOT DESIGNED OR INTENDED TO REPLACE PROFESSIONAL ENGINEERING JUDGMENT, LICENSED CONTRACTOR OVERSIGHT, OR REGULATORY COMPLIANCE REVIEW. ALL OUTPUTS OF THE SERVICE, INCLUDING AI-GENERATED CONTENT, SHOULD BE VERIFIED BY QUALIFIED PROFESSIONALS BEFORE USE IN CONSTRUCTION, ENGINEERING, OR REGULATORY CONTEXTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROJECT FLOW TECHNOLOGIES, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Project Flow Technologies, LLC and its affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your Customer Data.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws provisions. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, conducted in Cook County, Illinois. The arbitrator’s decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

15.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.5 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
